Parties
This Confidentiality and Non-Disclosure Agreement (the "Agreement") is entered into on 28 September 2026 between White Banger Tech Private Limited (GSTIN 06AADCW9650N1ZO), a company incorporated under the Companies Act, 2013, having its registered office at 560/08, Pansarian Mohalla, near Suparshav Jain School, Kaithal, Haryana, India – 136027 and its corporate office at 1st Floor, Gupta Tower, near Hindu Girls School, Ambala Road, Kaithal, Haryana, India – 136027 ("Whitebanger" or the "Disclosing Party") and [your full name], reachable at [your email] and [your mobile number] (the "Receiving Party").
Whitebanger owns and operates the freelance marketplace and business-tools platform known as "Future Disha", including its website, mobile applications, pitch materials and all related know-how (together, the "Platform").
1. Purpose
Whitebanger is willing to give the Receiving Party access to the Platform and to information about it solely so that the Receiving Party can evaluate the Platform, and any potential partnership, investment, employment or commercial relationship with Whitebanger (the "Purpose"). The Receiving Party shall use Confidential Information only for the Purpose.
2. Confidential Information
"Confidential Information" means all information, in any form, disclosed or made available to the Receiving Party by or on behalf of Whitebanger in connection with the Purpose, whether before or after the date of this Agreement, including without limitation: the existence, concept, design, features and workings of the Platform; every page, screen, flow, demonstration account and piece of content on the Platform; the pitch deck and all presentation materials; business model, pricing, fees, revenue lines and financial projections; market analysis, strategy and roadmap; verification, escrow, assessment and ranking methods; software, source code, architecture, data structures and integrations; and all notes, analyses or materials derived from any of the foregoing.
Confidential Information does not include information that the Receiving Party can demonstrate by written records (a) was publicly available at the time of disclosure, or later became publicly available through no fault of the Receiving Party; (b) was lawfully in the Receiving Party's possession before disclosure, free of any obligation of confidence; (c) was lawfully received from a third party without restriction; or (d) was independently developed without use of or reference to the Confidential Information.
3. Obligations of the Receiving Party
The Receiving Party shall (a) hold the Confidential Information in strict confidence and protect it with at least the degree of care it uses for its own confidential information, and no less than reasonable care; (b) not disclose, publish, describe or discuss the Confidential Information, the Platform or the fact of this evaluation with any person other than Whitebanger's authorised representatives, without Whitebanger's prior written consent; (c) not copy, screenshot, record, download, scrape, reproduce or summarise any part of the Platform or the materials except as expressly permitted in writing; (d) not reverse-engineer, decompile, or attempt to derive the source code, algorithms, data or methods underlying the Platform; (e) not use the Confidential Information to build, fund, advise or assist any product or service that competes with the Platform; and (f) promptly notify Whitebanger of any unauthorised use or disclosure of which it becomes aware and cooperate to remedy it.
Demonstration credentials provided to the Receiving Party are personal, may not be shared, and may be withdrawn at any time. Any data entered by the Receiving Party into a demonstration environment is for evaluation only.
4. Ownership and no licence
All Confidential Information, the Platform, and all intellectual property rights in them are and remain the sole property of Whitebanger. Nothing in this Agreement grants the Receiving Party any licence, right, title or interest in the Confidential Information or the Platform, whether by implication, estoppel or otherwise. No warranty is given as to the accuracy or completeness of the Confidential Information.
5. Compelled disclosure
If the Receiving Party is required by law, regulation or court order to disclose any Confidential Information, it shall (where lawful) give Whitebanger prompt written notice so that Whitebanger may seek a protective order, and shall disclose only the minimum required.
6. Term
This Agreement takes effect on acceptance and the obligations of confidentiality continue for 3 (three) years from that date, and thereafter for as long as any Confidential Information remains a trade secret under applicable law. On Whitebanger's request, the Receiving Party shall promptly return or destroy all Confidential Information in its possession and confirm having done so in writing.
7. Remedies
The Receiving Party acknowledges that unauthorised use or disclosure of Confidential Information would cause Whitebanger irreparable harm for which monetary damages would be an inadequate remedy. Whitebanger shall be entitled to seek injunctive or other equitable relief in addition to any other remedy available at law, without the need to prove actual damage or to post security. The Receiving Party shall indemnify Whitebanger against all losses, costs and expenses (including reasonable legal fees) arising from any breach of this Agreement.
8. Governing law and jurisdiction
This Agreement is governed by the laws of India. Subject to the foregoing, the courts having jurisdiction over Whitebanger's registered office at Kaithal, Haryana shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement.
9. General
This Agreement is the entire agreement between the parties about its subject matter and may be amended only in writing signed by both parties. If any provision is held unenforceable, the remainder continues in full force. No failure or delay in exercising any right operates as a waiver of it. The Receiving Party may not assign this Agreement. Notices to Whitebanger shall be sent to its corporate office address stated above.
10. Electronic acceptance
The parties agree that this Agreement is formed electronically and that the Receiving Party's acceptance by ticking the acceptance box and typing their full name constitutes a valid electronic signature and a binding contract under the Information Technology Act, 2000 (including section 10A) and the Indian Contract Act, 1872. Whitebanger records the Receiving Party's name, email address, mobile number, the date and time of acceptance, the IP address and device used, and the version and hash of this text, and the Receiving Party agrees that this record is conclusive evidence of acceptance.
